This is a translation for convenience. If there is any discrepancy, the English version prevails.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the MWM wholesale platform ("Platform"), operated by JP.Company Co.,Ltd. ("MWM", "we", "us", or "our"). By creating an account or placing an order, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
This Platform is designed exclusively for business-to-business (B2B) transactions. By using the Platform, you represent that you are acting on behalf of a registered business entity.
2. Eligibility & Registration
You must be at least 18 years of age and authorised to act on behalf of a business entity.
You must provide accurate, current and complete registration information, including company name, billing address and contact details.
We reserve the right to verify your business credentials and may request additional documentation.
Accounts are non-transferable. You are responsible for all activity under your account.
We may refuse registration or suspend accounts at our sole discretion.
3. Wave Offer System
3.1 Weekly Wave Cycle
Products are offered through weekly "Waves". Each Wave follows a schedule set by MWM. Deadlines are displayed in your local time on the Platform:

3.2 Making Offers
Offers must be at or above the listed price.
You may change your offer (raise or lower) at any time before the deadline, provided it stays at or above the listed price.
All offers are binding. At the end of the offer period, the highest qualifying offer per item wins.
If you are the only bidder on an item, you win at the listed price and no premium is charged. A premium applies only when two or more buyers compete, in which case the highest offer wins and pays its own offer amount.
If several offers are tied, the earliest submission wins.
We reserve the right to reject any offer at our discretion.
4. Pricing & Payment
4.1 Prices
All prices are listed in US Dollars (USD). Prices exclude shipping, taxes and duties unless otherwise stated. MWM reserves the right to change prices at any time prior to purchase confirmation.
4.2 Payment Methods
Credit card (Stripe):
an additional 4% discount is applied to the total amount during the current limited-time campaign. Payment must be received within 5 days of the invoice date.
SWIFT international wire:
pay at the listed price with no additional fees or discounts.
4.3 Discounts
Eligible avatar and special discounts are applied at the invoice level. Card payment discounts are applied in the payment flow when that method is selected.
Discount eligibility and rates may be adjusted at MWM's discretion.
4.4 Late Payment
Invoices not paid within 5 days are considered overdue.
A late fee of 1.5% per month may be applied to overdue balances.
Repeated late payment may result in account suspension or restricted access.
4.5 Reference Retail Price
Some listings show a "Reference retail price". This is an estimate calculated by MWM solely for reference, to help you picture a possible resale price. It is not an appraisal, a market price or a guaranteed selling price, and the item may not sell at that price. Please make your own purchasing and resale decisions with this in mind.
5. Shipping & Delivery
Items are shipped within 5–10 business days of payment confirmation.
Risk of loss passes to the buyer upon delivery to the carrier.
MWM is not responsible for delays caused by customs, carriers or force majeure events.
It is the buyer's responsibility to comply with import regulations and to pay any applicable customs duties and taxes.
6. Cancellations & Returns
6.1 Cancellations
All purchases are binding. Cancellation requests must be submitted via the Contact form.
A cancellation rate exceeding 5% of total purchases may result in a penalty fee or account restrictions.
Cancellation requests are reviewed case by case and are not guaranteed.
6.2 Returns
All sales are final. Returns may be accepted only if:
the item is materially different from the description (must be reported within 48 hours of receipt with photo evidence);
the item arrived damaged during shipping (photo documentation required);
the wrong item was shipped.
All items are pre-owned and sold "as-is"; photographs form part of the description. Minor discrepancies between the description and the actual item do not constitute grounds for return.
Approved returns will be credited to your account. Credits may be applied to future purchases and do not expire. Refunds to the original payment method are not available unless required by law.
7. Intellectual Property
All content on the Platform, including text, images, logos and software, is the property of JP.Company Co.,Ltd. or its licensors and is protected by intellectual property laws. You may not reproduce, distribute or create derivative works without prior written consent.
8. Privacy & Data
We collect and process personal and business data as necessary to operate the Platform, process transactions and communicate with you. By using the Platform, you consent to:
collection of registration data, transaction history and browsing activity;
use of data for order processing, account management and service improvement;
communication by email regarding orders, invoices and platform updates.
We do not sell your personal data to third parties. Data may be shared with payment processors (Stripe) and shipping carriers as necessary to fulfil orders.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JP.Company Co.,Ltd. AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
MWM's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the total amount you paid to MWM in the twelve (12) months preceding the claim.
MWM is not responsible for:
the accuracy of product descriptions beyond what is stated in the listings;
technical issues, service interruptions or data loss;
shipping delays or damage caused by third-party carriers;
currency fluctuations affecting the final cost of purchases;
the reference retail price shown on a listing (an estimate calculated by MWM), or any difference between it and the price at which you actually resell an item.
10. Dispute Resolution
Any dispute arising from these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If negotiation fails, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance. Each party shall bear its own costs.
These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
11. Account Termination
We may suspend or terminate your account at any time for violation of these Terms, non-payment or fraudulent activity.
You may close your account by contacting us. Outstanding obligations must be settled before closure.
Upon termination your access to the Platform ceases, but obligations incurred prior to termination survive.
12. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated by email or through a notice on the Platform. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.
